Terms & Conditions

By accessing or using SymmetryTech.com (the "Site") or any services provided by Symmetry I.T. LLC ("Symmetry I.T.," "we," "our," or "us"), you agree to be bound by these Terms & Conditions ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Site.

These Terms apply to all visitors, users, and others who access or use the Site. Symmetry I.T. reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.

Symmetry I.T. provides managed IT services, cybersecurity services (including the Defenasys platform), AI automation, help desk support, onsite field services, network infrastructure, physical security systems, and technology consulting to businesses in the hospitality, healthcare, legal, professional services, finance, and other industries.

The Site is provided for informational purposes and to facilitate inquiries about our services. Actual service engagements are governed by separate Master Service Agreements (MSAs) and Statements of Work (SOWs) executed between Symmetry I.T. and the client. Nothing on this Site constitutes a binding offer or contract for services.

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
• Transmit any unsolicited or unauthorized advertising or promotional material (spam).
• Impersonate or attempt to impersonate Symmetry I.T., a Symmetry I.T. employee, another user, or any other person or entity.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which may harm Symmetry I.T. or users of the Site.
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

The Site and its entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof — are owned by Symmetry I.T., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Symmetry I.T. Trademarks. "Symmetry I.T.," "SymmetryTech," "Defenasys," and associated logos are trademarks or service marks of Symmetry I.T. LLC. You may not use these marks without prior written permission from Symmetry I.T.

Third-Party Trademarks. All third-party product names, logos, and trademarks referenced on this Site (including CrowdStrike®, SentinelOne®, Microsoft®, Fortinet®, Ubiquiti®, Avigilon®, Openpath®, and Datto®) are the property of their respective owners. References to these marks are for descriptive purposes only and do not imply any affiliation with or endorsement by those companies.

Limited License. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use. This license does not include the right to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site.

No Warranties. THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SYMMETRY I.T. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Accuracy of Information. While we strive to keep the information on the Site current and accurate, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability with respect to the Site or the information, products, services, or related graphics contained on the Site for any purpose.

No Professional Advice. Content on the Site is for general informational purposes only and does not constitute professional IT, legal, financial, or security advice. You should not act or refrain from acting on the basis of any content on the Site without seeking appropriate professional advice.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SYMMETRY I.T., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Site.
• Any conduct or content of any third party on the Site.
• Any content obtained from the Site.
• Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL SYMMETRY I.T.'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Symmetry I.T. and its affiliates, licensors, service providers, employees, agents, officers, directors, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, any use of the Site's content, services, and products other than as expressly authorized in these Terms.

The Site may contain links to third-party websites or services that are not owned or controlled by Symmetry I.T. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities or their websites. We encourage you to read the terms and privacy policy of any third-party website you visit.

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any choice or conflict of law provision.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida, in each case located in Miami-Dade County, Florida. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

No waiver by Symmetry I.T. of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Symmetry I.T. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the sole and entire agreement between you and Symmetry I.T. regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

For clients engaged in active service agreements, the applicable Master Service Agreement and Statement of Work govern the service relationship and take precedence over these Terms with respect to services rendered.
